Terms & Conditions

These Terms & Conditions ("Terms") govern your access to and use of VoiceAgent.sbs (the "Service"). By creating an account or otherwise using the Service, you agree to be bound by these Terms. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization, and "you" refers to that organization.
1. The Service
VoiceAgent.sbs provides AI voice agents that answer and place phone calls, and an embeddable website voice widget, both grounded in content you provide via our knowledge base. Features, availability and third-party telephony/AI providers used to deliver the Service may change over time.
2. Accounts
You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. Notify us promptly of any unauthorized use. You must provide accurate account and billing information and keep it up to date.
3. Acceptable use
You agree not to use the Service to:
- Place unsolicited, unlawful, or robocall-style outbound calls in violation of applicable telemarketing, do-not-call, or anti-spam laws.
- Record calls or collect caller information without the disclosures or consent required by law in the relevant jurisdiction.
- Impersonate any person or organization, or use a voice agent to mislead callers about the fact that they are speaking with an AI system where such disclosure is legally required.
- Upload knowledge base content, or configure agent instructions, that are unlawful, infringing, defamatory, or that facilitate fraud, harassment, or discrimination.
- Attempt to circumvent rate limits, the website widget's domain allowlist, or other technical safeguards, or to probe, scan or test the vulnerability of the Service without authorization.
- Reverse engineer, resell, or use the Service to build a directly competing product without our written consent.
4. Website widget
If you enable the embeddable website voice widget, you are responsible for the domains you authorize to embed it, for the content and conduct of your own website, and for ensuring visitors are given any disclosure required by law that they may be speaking with an AI system and that the call may be recorded.
5. Fees and billing
Paid plans are billed on a usage basis (per minute of active AI talk time) unless a separate committed-use or enterprise agreement states otherwise, as described on our Pricing page. Where you connect your own telephony account (bring-your-own-Twilio), telephony charges are billed to you directly by that provider. 6. Customer content and knowledge base
You retain ownership of the content, documents and website material you upload to your knowledge base. You grant us a limited license to process that content solely to operate the Service on your behalf (e.g. to generate embeddings and ground agent responses). You are responsible for having the necessary rights to any content you upload.
7. Intellectual property
The Service, including its software, design and branding, is owned by us or our licensors and is protected by intellectual property laws. These Terms do not grant you any rights to our trademarks or branding except as needed to use the Service as intended.
8. Third-party services
The Service relies on third-party telephony and AI providers to function. We are not responsible for outages, errors or changes originating from those third parties, though we will make reasonable efforts to maintain service continuity.
9. Disclaimers
The Service is provided "as is" and "as available", without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. AI-generated responses may occasionally be inaccurate; the Service is not a substitute for professional advice in regulated contexts (e.g. medical, legal, financial) without appropriate human oversight.
10. Limitation of liability
To the maximum extent permitted by law, VoiceAgent.sbs and its affiliates will not be liable for any indirect, incidental, special, consequential or punitive damages, or any loss of profits, revenue, data or goodwill, arising from your use of the Service. Our aggregate liability for any claim arising from these Terms will not exceed the amount you paid us in the twelve months preceding the claim.
11. Indemnification
You agree to indemnify and hold us harmless from claims arising from your use of the Service in violation of these Terms or applicable law, including claims arising from calls placed or received by your agents or your website widget.
12. Termination
You may stop using the Service and close your account at any time. We may suspend or terminate access for breach of these Terms, non-payment, or conduct that creates risk or legal exposure for us or others.
13. Governing law
These Terms are governed by the laws of Australia, without regard to conflict-of-law principles, unless a separate signed agreement between you and us states otherwise.
14. Changes to these Terms
We may update these Terms from time to time. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
